JOB PURPOSE:
To provide legal advice and support with respect to an assigned portion of a large complex project/ deal or an assigned simple project/ deal of the Company, draft legal documents, and agreements, and identify and raise legal risks across this project, in order to ensure compliance with all relevant laws and regulations and timely resolution of issues.

Description
People Development
Provide on the job coaching and mentoring to other junior members of the team on Legal Business Development matters for the assigned project, in order to enable development of talent across the team.
Legal Advice and Support
Provide legal advice and support on a simple assigned project/ deal independently or provide support to the Executive Manager on a complex project/ deal, in order to ensure legal aspects of the project are considered during critical decisions.
Provide legal support in setting up of companies in the various jurisdictions, interacting with local counsel in setting up such companies, and provide advice on board resolutions, power of attorneys and other ancillary corporate documents as required, in order to ensure the company is set up as per legal procedures.
Support the Executive Manager, on M&A activities for an assigned brown-field project/ deal, from a legal perspective in coordination with external consultants, in order to ensure the work is carried out effectively.
Legal Risk Management
Identify legal risks and issues with respect to assigned simple project/ deal, and ways on how to mitigate them, and provide suggestions to the line manager, in order to proactively manage risks and timely mitigate them.
Legal Documentation
Develop, update and maintain templates of legal agreements for an assigned simple project or support on a portion of a complex project/ deal, in order to ensure the templates are ready and can be used when required.
Prepare RFPs for appointing external legal counsel (including preparing comparison charts), in order to ensure all requirements and specifications are captured.
Agreements and Contracts
Develop and review all agreements and contracts relevant to the assigned project or portion of a project from a legal perspective, and make necessary amendments, in order to ensure they meet the needs of the project.
Handle basic and less complex negotiations and assist in aggressive negotiations with key stakeholders as required, for the assigned project, in order to ensure the interests of the project is safeguarded.
Monitoring of Legal Partners
Monitors the performance of external counsel (international and local) and provide inputs in order to ensure they perform as per the desired level and required standards.
Collaboration
Coordinate with external parties including external counsel (international and local), shareholders, banks, offtakers, etc. as required, in order to ensure all the necessary al legal information and documentation is available for the assigned project.
Provide support in interacting with the senior management, as required with respect to legal matters/issues, legal opinions on the assigned project, in order to ensure they are aware of the legal implications.

Implement approved departmental policies, processes, and procedures, and ensure employee adherence so that work is carried out to the required standard.

COMMUNICATION & WORKING RELATIONSHIPS:
Internal:
Working closely with VP General Counsel (BD), BD and the rest of the CIO Team, Legal PM (formerly Assets) Team, and other departments as required
External:
Liaise with external legal entities, regulatory bodies, consultants, etc. as required
QUALIFICATIONS, EXPERIENCE, & SKILLS:
Minimum Qualifications:
Bachelors degree in Law
Minimum Experience:
3 5 years experience in project finance and/or construction law or similar legal function
Skills:
Good knowledge in projects, infrastructure, regulatory and policies matters
Ability to identify prospective legal risks
Ability to provide trusted legal advice
Ability to effectively liaise with third parties, and negotiate with counterparts
Ability to draft agreements and contracts for a project
Good organisational skills, analytical skills, and ability to work under pressure
High degree of rigour and attention to detail
Good interpersonal and communication skills
